MGMT 4420 - Law of Business Organizations

(3 credits)

Prerequisites: C or better in MGMT 3310.

Studies laws governing sole proprietorships, partnerships, corporations, limited liability companies, and other types of business organizations. The legal duties and powers of officers, partners, board of directors, member-managed boards, member employees, and shareholders are examined, as well as legal liability for business actions under civil and criminal law, including the federal criminal sentencing guidelines for organizations and methods to reduce civil and criminal liability.
